1. Scope and agreement

These Terms of Use ("Terms") govern your access to and use of gyre.world (the "Site"), including both the public pages and the authenticated Gyre platform. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Specific activities on the platform — such as investment or project engagement — may be governed by additional agreements presented to you at the time of that activity. Those additional agreements prevail over these Terms to the extent of any inconsistency.

You must be at least 18 years old to use the Site. By accessing or using the Site, you represent and warrant that you meet this requirement.

2. About the Site

The Site provides information about Gyre and its nature restoration investment platform. The Site may include general descriptions of our services, educational content, and contact and enquiry facilities. We may update, modify, or remove content on the Site at any time without notice.

3. No financial advice

Nothing on the Site constitutes financial advice, investment advice, a recommendation to invest, an offer of securities, an offer to sell or solicitation to buy any financial product, or a solicitation of any kind. Any descriptions of Gyre's platform, investment processes, or nature restoration outcomes are provided for general informational purposes only. You should obtain independent professional advice before making any investment or financial decision. Gyre does not hold a financial advice provider licence under the Financial Markets Conduct Act 2013 (NZ) and does not provide regulated financial advice through the Site.

4. Acceptable use

You must not:

• Violate applicable law or infringe others' rights;
• Attempt to gain unauthorised access to the Site, its systems, or data;
• Interfere with or disrupt the integrity or performance of the Site;
• Use the Site to distribute malware, spam, or deceptive content; or
• Scrape, harvest, or automate access to the Site beyond what is permitted by our robots.txt file or our written consent.

5. Intellectual property

The Site, including its design, text, graphics, logos, and other materials, is owned by Gyre or its licensors and is protected by copyright, trade mark, and other intellectual property laws. You may view and download content from the Site for your own personal, non-commercial use. You may not otherwise reproduce, distribute, modify, or create derivative works from the Site content without our prior written consent.

If you submit information to us through the Site (for example, through the contact form), you represent that the information is accurate and that you have the right to provide it. You grant us a licence to use that information to respond to your enquiry and for the other purposes described in our Privacy Policy.

8. Disclaimers

To the fullest extent permitted by applicable law, the Site and its content are provided on an "as is" and "as available" basis. We make no warranties, whether express, implied, or statutory, regarding the Site, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Nothing in these Terms excludes or limits any rights you may have under the Consumer Guarantees Act 1993 (NZ) or the Fair Trading Act 1986 (NZ) that cannot be excluded or limited by law. The disclaimers and limitations in these Terms apply only to the extent permitted by New Zealand law.

9. Limitation of liability

To the fullest extent permitted by law, Gyre and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to your use of the Site.

Our total aggregate liability for any claim arising out of or related to the Site or these Terms is limited to NZD $100, except where liability cannot be excluded or limited under applicable law (including the Consumer Guarantees Act 1993).

10. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect and use personal information.

11. Governing law and disputes

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, subject to any non-waivable rights you may have under the law of your country of residence.

12. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Where changes are material, we will provide reasonable notice before they take effect. Continued use of the Site after the effective date of updated Terms constitutes acceptance.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No waiver of any provision of these Terms will be effective unless in writing. Failure by either party to enforce any right or provision of these Terms does not constitute a waiver of that right or provision and will not prevent enforcement at a later time.

We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

16. Entire agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any additional agreements you accept for specific platform activities, constitute the entire agreement between you and Gyre regarding your use of the Site.
